1. Article XX Suspension of Bylaws. This has been removed from the bylaws. 2. Renaming Article XXI "Amending of Bylaws" to become Article XX
Also, in Article XX Missouri has an additional statement that international does not. It is section b. Amendments shall be studied by the state executive board. If passed by a two-thirds (⅔) majority vote of this board, they shall be sent to each chapter for study at least thirty (30) and not more than ninety (90) days prior to the state convention.
This has been in our state bylaws for many years. The executive board would like to continue to keep this knowing it isn't 100% aligned with International Bylaws.
3. A new Article has been added: Article XXI – DISSOLUTION OF THE ORGANIZATION The Internal Revenue Service requires upon the dissolution of the corporation’s states, Commonwealth of Puerto Rico, or any chapters within, the assets of the state or chapter(s) having assets which remain after payment of its obligations has been made or provided for, and after return, transfer, or conveyance of assets held upon condition requiring such return, transfer, or conveyance, shall be transferred to one or more nonprofit organizations whose purposes are substantially similar to those for which the corporation is organized and which at the time of such distribution are described in section 501 (c) (3) of the Code and exempt from tax under section 501(a) of the Code.
This article is needed with Alpha Delta Kappa's tax exempt status.
